Independent Governance Reform Commission DRAFT Proposal Summary

The Independent Governance Reform Commission has developed a first draft of its report, which is now open for comment by the Federation.

Below is a summary of the report and you can also download the draft report in full.

The preliminary report includes an analysis of the governance structure of other comparable organisations, the results of the membership survey on governance, and the strengths and weaknesses of IPPF’s current governance structure and system of operating. It also enumerates the several possible options and alternatives the commission reviewed and concludes with the proposal described below.

The Commission is now seeking your response to the proposal prior to finalising its report and detailed recommendations for the Members Assembly that will convene at the end of November 2019

Proposal Summary

The preliminary report of the Independent Governance Reform Commission proposes to replace the present multi-tiered structure of a central Governing Council/Regional Councils/Executive Committees, with a single Board of Trustees and a General Assembly of Member Associations (MAs). The board would be comprised of people from the IPPF Member Associations as well as internationally recognized experts. It would be supported by a set of standing committees on which MAs would also have substantial representation, ensuring a strong voice throughout the policy and decision-making systems for the entire IPPF membership. Geographic and other diversity would be stressed and existing commitments to the representation of women and young people would be maintained and reinforced.

The outline of the proposal is presented below in simplified graphic form.

Summary of key points

General Assembly:

  • Advises on overall strategic direction of the Federation
  • Enables global connectivity and solidarity
  • Questions and scrutinises the Board of Trustees and inputs into major policy questions
  • Adopts and amends the Regulation of the Federation

Regional Assemblies:

  • Forums for exchange of ideas and experience
  • Emphasis on workshops, seminars and mutual learning
  • Meets with members of the Board of Trustees to exchange ideas and perspectives

Board of Trustees:

  • Maximum of 15 members of MAs and global experts, with a minimum of five MA members
  • Diversity principles apply, including geography, women, youth, and ethnicity
  • Nominating, Governance and Membership Committee recommends Board selection based on established criteria and needs of the Board

    I am not sure if all MA’s will be represented fairly or will our voice be heard equally in the meetings ? New structure omits ESEAO Regional Council Meeting. The new structure is a short cut – change is good but it comes with its challenges as well.

    Many thanks for your comment.
    MAs will be represented by those elected to the Board of Trustees. They will voice all their issues and concerns through the Regional Assemblies that will replace the RCs and RECs. And they will all be present at the General Assemblies. The Commission believes that these three avenues through which MAs’ voices can be heard will ensure that the MA voice becomes the preeminent voice in IPPF governance.

    Good afternoon from Mauritius. We congratulate you and the whole teams who have been fully engaged in transforming IPPF.
    As you are aware whether IPPF has collaborative partners or associate members all do have structures which deal with governance and resource mobilization issues. All MAs irrespective of their status are contributing in IPPF achievement. Collaborative partners have been supporting the change process and we have been consulted to give our views even at this stage.

    Most unfortunately we are not invited to attend the special general assembly to know and contribute accordingly. Being a collaborative partner is a temporary process. Therefore I am making an appeal for the decision to be reviewed and IPPF to adopt a holistic approach so that collaborative partners are also invited to attend the Special General Assembly.

    Perhaps the Board of Trustees [or Governors?] should have 6 representatives, one from each region and 7 independent, external Trustees with skills specific to the needs of the Federation.

    And in terms of diversity of the membership of the Board of Trustees, perhaps we could consider geography, gender, age, ethnicity, skill sets.

    This is logical and a smart way for IPPF to be governed in the 21st century and beyond. Many thanks to the Commission.

    should way both the pros and cons of the the new reform versus the old one. If it is for the good of the organisation then it can be implemented.
